    Agreement to Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you and Rooted Labs LLC ("Company," "we," "us," or "our") governing your use of the Culinary Card service, including the website located at www.culinarycard.app and all related applications, features, and services (collectively, the "Service").

    BY USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

    1. Acceptance and Modifications

    1.1 Acceptance

    By creating an account or using the Service, you represent that:

    • You are at least 18 years old (or the age of majority in your jurisdiction)
    • You have the legal capacity to enter into these Terms
    • You will use the Service in compliance with these Terms and all applicable laws

    1.2 Modifications

    We reserve the right to modify these Terms at any time. We will notify you of material changes by:

    • Posting updated Terms with a new "Last Updated" date
    • Sending an email notification to your registered email address
    • Displaying a prominent notice in the Service

    Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may delete your account.

    2. Description of Service

    Culinary Card is an AI-powered recipe management application that allows you to:

    • Import recipes from URLs, Pinterest, text, or images
    • Parse and structure recipes using AI technology (OpenAI GPT models)
    • Generate recipe images using AI image generation
    • Store and organize your personal recipe collection
    • Export recipe cards for printing or sharing

    IMPORTANT: The Service uses artificial intelligence to process recipes. AI-generated content may contain errors, inaccuracies, or unexpected results. You are solely responsible for reviewing and verifying all recipe content before use.

    3. Account Registration and Security

    3.1 Account Creation

    To use the Service, you must create an account by providing:

    • A valid email address
    • A secure password
    • Accurate registration information

    You agree to:

    • Provide truthful and accurate information
    • Maintain the security of your password
    • Notify us immediately of any unauthorized access
    • Be responsible for all activities under your account

    3.2 Account Security

    You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage resulting from your failure to protect your account information.

    3.3 Account Termination

    We reserve the right to suspend or terminate your account at any time for:

    • Violation of these Terms
    • Fraudulent or illegal activity
    • Abuse of the Service or other users
    • Non-payment of fees
    • Any other reason at our sole discretion

    You may delete your account at any time through your profile settings.

    4. Paid Services and Billing

    4.1 Pricing and Payment

    The Service operates on a credit-based system with the following pricing:

    • Credits: $0.10 per credit
    • Monthly Subscription: $3.00 per month (includes 30 credits per month, up to 100 credit maximum)
    • Additional Credits: Available for purchase by active subscribers (minimum 20 credits, maximum 100 total credits)

    All prices are in U.S. Dollars and subject to change with 30 days' notice.

    4.2 Payment Processing

    Payments are processed through Stripe, a third-party payment processor. By providing payment information, you:

    • Authorize us to charge your payment method for all fees
    • Represent that you have the legal right to use the payment method
    • Agree to Stripe's terms and conditions

    We do not store your full credit card information.

    4.3 Subscriptions

    Monthly subscriptions automatically renew unless cancelled. You may cancel at any time through your profile settings. Upon cancellation:

    • Your subscription remains active until the end of the current billing period
    • No refunds will be issued for partial months
    • You retain access to paid features until the subscription expires

    4.4 Credits

    • Credits are used to create recipes (1 credit per recipe)
    • Credits do not expire while your subscription is active, up to 100 credits - after this they do expire.
    • Unused credits are forfeited upon subscription cancellation or account deletion
    • Credits are non-transferable and have no cash value
    • Credit purchases are final and non-refundable

    4.5 Refunds

    We do not offer refunds for:

    • Partial subscription periods
    • Credit purchases
    • Unused credits
    • AI-generated content you are unsatisfied with

    Refunds may be issued at our sole discretion for technical errors or billing mistakes.

    4.6 Free Tier and Whitelist

    We may offer free access to certain users at our discretion (friends, family, partners). This access may be revoked at any time without notice.

    5. Acceptable Use

    5.1 Permitted Use

    You may use the Service only for lawful purposes and in accordance with these Terms. You agree to:

    • Use the Service for personal, non-commercial purposes
    • Respect intellectual property rights of recipe authors
    • Provide proper attribution when sharing recipes from the Service
    • Comply with all applicable laws and regulations

    5.2 Prohibited Conduct

    You agree NOT to:

    • Infringe Rights: Violate intellectual property, privacy, or other rights of third parties
    • Illegal Activity: Use the Service for any illegal purpose
    • Harmful Content: Upload malicious code, viruses, or harmful content
    • Abuse Service: Attempt to overload, hack, or disrupt the Service
    • Scraping: Use automated tools to extract data from the Service without permission
    • Impersonation: Impersonate others or misrepresent your affiliation
    • Resale: Resell, redistribute, or commercially exploit the Service
    • Circumvention: Attempt to bypass payment systems or access controls
    • Spam: Send unsolicited communications through the Service
    • Inappropriate Content: Upload offensive, abusive, or inappropriate content

    Violation of these prohibitions may result in immediate account termination and legal action.

    6. User Content and Intellectual Property

    6.1 Your Content

    You retain ownership of recipes, photos, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

    • Store, process, and display your content
    • Process content through AI services (OpenAI)
    • Use content to provide and improve the Service
    • Create backups and derivative works as necessary

    This license terminates when you delete your content or account, except for:

    • Content retained in backups (up to 90 days)
    • Content required for legal compliance

    6.2 Recipe Attribution

    When importing recipes from third-party websites:

    • You represent that you have the right to use the recipe
    • We store source URL and attribution information
    • You agree to respect copyright and intellectual property rights of original authors
    • Recipes are for personal use only unless otherwise licensed

    6.3 AI-Generated Content

    Content generated by AI (structured recipes, images) is provided to you, but ownership may be subject to the terms of the AI provider (OpenAI). You may use AI-generated content for personal purposes, but commercial use may require additional licensing.

    6.4 Our Intellectual Property

    The Service, including its design, code, branding, and features, is owned by Rooted Labs LLC and protected by copyright, trademark, and other intellectual property laws. You may not:

    • Copy, modify, or distribute our code or design
    • Use our trademarks without permission
    • Reverse engineer or decompile the Service
    • Create derivative works based on the Service

    7. AI-Generated Content Disclaimer

    7.1 No Warranty of Accuracy

    AI-generated content (recipes, images) is provided "as-is" without warranty. We do not guarantee:

    • Accuracy of recipe measurements, times, or instructions
    • Food safety or allergen information
    • Suitability for dietary restrictions
    • Quality or appropriateness of generated images

    YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL RECIPE INFORMATION BEFORE USE.

    7.2 Food Safety

    We are not responsible for:

    • Foodborne illness or allergic reactions
    • Errors in recipe instructions or ingredient lists
    • Food safety issues resulting from AI-generated content

    Always use proper food safety practices and consult reliable sources for dietary restrictions and allergen information.

    7.3 Third-Party Recipe Sources

    When importing recipes from URLs or Pinterest:

    • We do not verify accuracy or safety of third-party recipes
    • Original recipe authors are responsible for content accuracy
    • We are not liable for errors in imported recipes

    8. Third-Party Services

    The Service integrates with third-party services:

    • Supabase: Database and authentication
    • OpenAI: AI processing and image generation
    • Stripe: Payment processing
    • PostHog: Analytics
    • Pinterest, Recipe Websites: Source content for imports

    Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service failures, errors, or data practices.

    9. Privacy and Data Use

    Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to:

    • Collection and processing of your data as described in the Privacy Policy
    • Processing of recipe content through OpenAI's API
    • International data transfers as necessary to provide the Service

    10. Disclaimers and Limitations of Liability

    10.1 Service Availability

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

    • MERCHANTABILITY
    • FITNESS FOR A PARTICULAR PURPOSE
    • NON-INFRINGEMENT
    • ACCURACY, RELIABILITY, OR COMPLETENESS

    We do not guarantee:

    • Uninterrupted or error-free service
    • Data accuracy or completeness
    • Security from unauthorized access
    • Compatibility with your devices

    10.2 Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, ROOTED LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

    • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
    • LOSS OF PROFITS, DATA, USE, OR GOODWILL
    • SERVICE INTERRUPTIONS OR ERRORS
    • AI-GENERATED CONTENT INACCURACIES
    • THIRD-PARTY SERVICE FAILURES
    • FOOD SAFETY ISSUES OR HEALTH CONSEQUENCES

    IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

    10.3 Exceptions

    Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless Rooted Labs LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

    • Your use of the Service
    • Your User Content
    • Violation of these Terms
    • Violation of any rights of third parties
    • Food safety issues or health consequences from recipes
    • Your negligence or willful misconduct

    12. Dispute Resolution

    12.1 Governing Law

    These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law provisions.

    12.2 Arbitration

    Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except:

    • Small claims court matters (under $10,000)
    • Intellectual property disputes
    • Injunctive relief matters

    Arbitration shall be conducted in Minnesota or remotely by mutual agreement.

    12.3 Class Action Waiver

    You agree to resolve disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

    12.4 Jury Trial Waiver

    You waive the right to a jury trial for any dispute arising from these Terms.

    13. Export Controls

    You agree to comply with all applicable export control laws and regulations. You represent that you are not:

    • Located in an embargoed country
    • Listed on any U.S. government prohibited party list
    • Subject to export restrictions under applicable law

    14. Miscellaneous

    14.1 Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rooted Labs LLC regarding the Service.

    14.2 Severability

    If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

    14.3 Waiver

    Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

    14.4 Assignment

    You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

    14.5 Force Majeure

    We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).

    14.6 Notices

    14.7 Survival

    Provisions that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification) shall survive.
